1. Introduction

These Terms and Conditions (“Terms”) govern your use of Portia (“the Platform”), operated by Krissco AB, a company registered in Sweden, with its principal office at Byvägen 14, 18745 Toby, Sweden. Portia is .a SaaS solution providing tools to create responsible products with integrated processes, project management, traceability, and customer feedback.product lifecycle management (PLM), circularity, and traceability features. By accessing or using the Platform, you (“user” or “you”) agree to comply with these Terms. If you do not agree, please refrain from using the Platform.

2. Eligibility

By using the Platform, you confirm that you are at least 18 years old or the legal age of majority in your jurisdiction. If you are using Portia on behalf of an organization, you affirm that you have the authority to bind your organization to these Terms. You are fully responsible for any activity that occurs under your organization’s account.

3. Service Access and Availability

We are committed to providing a reliable and consistent service on the Platform. However, occasional downtime may occur due to necessary system maintenance, upgrades, or unforeseen technical issues. While we strive to minimize disruptions, we cannot guarantee uninterrupted access to the Platform at all times.

In the rare event of a service interruption, we will make every effort to restore access as quickly as possible. We are not liable for any interruptions, delays, or lack of availability caused by factors outside our control, such as internet outages, cyber-attacks, or other unforeseen circumstances.

4. Data Security, Storage, and Loss

We take your data security seriously and implement industry-standard security measures, including encryption and regular backups, to protect your data. However, no system is entirely immune to risks, and we encourage users to maintain their own backups as an additional precaution.

While Portia is designed to keep your data safe and accessible, we cannot be held responsible for rare occurrences of data loss, corruption, or unauthorized access due to unforeseen technical failures. Our goal is to minimize such risks, and we are continually working to enhance the security and reliability of the Platform.

5. User Responsibilities

  • Accuracy of Information: You agree to provide accurate, complete, and current information when using the Platform.
  • Account Security: You are solely responsible for safeguarding your account credentials. Portia is not liable for any unauthorized access or use of your account.
  • Compliance with Laws: You agree to use the Platform in compliance with all applicable laws, including local, state, and international data protection and privacy regulations. You are responsible for ensuring that your use of the Platform, including handling customer data, complies with any regulatory requirements that apply to your business.

6. Limitation of Liability

Portia provides the Platform “as-is” and “as-available.” We disclaim all warranties, express or implied, regarding the Platform’s performance, reliability, or availability.

To the fullest extent permitted by law, Portia is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to access the Platform. This applies even if we were advised of the potential for such damages.

7. Intellectual Property

All content, software, trademarks, and intellectual property on the Platform are owned by Portia or our licensors. You are prohibited from reproducing, distributing, modifying, or creating derivative works from the Platform’s content without prior written consent.

8. Payment Terms

By subscribing to the Platform, you agree to pay the subscription fees in advance, as outlined on our pricing page or communicated directly to you. All payments are due at the beginning of each subscription period, and failure to make a timely payment will result in suspension of your access to the Platform.

If payment is not received by the due date, your account may be deactivated, and you will lose access to the Platform until the outstanding balance is paid in full. Portia reserves the right to terminate your subscription if payments are consistently late or unpaid.

All payments are processed through secure third-party providers like Stripe, and by agreeing to these Terms, you also agree to the terms and conditions of those payment processors.

9. Privacy and Data Protection

Your privacy is important to us. We handle your data in accordance with our Privacy Policy, which details how we collect, store, and use your personal information. By using the Platform, you consent to our data handling practices and the storage of your data in accordance with applicable laws.

As Portia may process sensitive customer and operational data, you must ensure that any data you upload to the Platform complies with all applicable privacy and data protection laws (e.g., GDPR, CCPA).

10. Third-Party Links and Services

The Platform integrates with third-party services such as Stripe for payment processing and PDF Monkey for document generation. While we strive to ensure seamless integration, we are not responsible for the content, privacy policies, or practices of these third-party services.

By using the Platform, you acknowledge that you may be subject to the terms and conditions of these third-party providers. We encourage you to review their policies to understand how your data will be handled when interacting with these services.

11. Platform Updates and Modifications

Portia reserves the right to modify, update, or enhance the Platform at any time, including adding or removing features, services, or functionality. These changes may be implemented to improve user experience, maintain platform performance, or align with evolving technology and business needs.

We will make reasonable efforts to notify users of significant changes; however, you are responsible for staying informed of updates. By continuing to use the Platform after any changes, you accept and agree to the modified features and terms.

We are not liable for any disruptions or impacts caused by updates, including the removal or alteration of specific functionalities.

12. Data Ownership and Security

You retain ownership of all data uploaded to the Platform. Portia operates as a data processor and takes reasonable steps to ensure your data remains secure. However, you are responsible for the lawful collection, processing, and sharing of any customer data you handle within the Platform. You agree to inform Portia of any data breaches that may arise from your use of the Platform within a reasonable timeframe.

13. Indemnification

You agree to indemnify and hold Portia, its employees, officers, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, use of the Platform, or violations of any applicable law or regulation.

14. Governing Law

These Terms and any disputes arising out of or related to the Platform shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Sweden.

15. Dispute Resolution

Any disputes or claims arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with Swedish law. The arbitration will take place in Stockholm, Sweden, and will be conducted in the Swedish language. By using the Platform, you agree to submit to the exclusive jurisdiction of the arbitration proceedings held in Sweden.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Any updates will be posted on our website, and your continued use of the Platform constitutes acceptance of those changes. We encourage you to review the Terms periodically.

17. Termination

We may suspend or terminate your access to the Platform at any time for any reason, including breach of these Terms. Upon termination, your access to data stored on the Platform may be restricted. It is your responsibility to retrieve any necessary data before termination.
